| Major companies in Japan have been accelerating restructuring and reorganization of business from the viewpoint of "selection
and concentration" since end of 1990's. |

| Following the situation,
Mizuho Financial Group established MHCP, and "FBF2000,
L.P.", the first Management Buy-Out Fund in 1999 and "MH Capital Partners ‡U, L.P." in 2003 as the second MBO Fund formed
by Japanese financial institution, based on its
expertise and experience in the Japanese and overseas buy-out
market. |

After completion
of investment from FBF2000, L.P., MHCP and "MH
Capital Partners ‡U, L.P." raised the third Buy-Out
Fund with commitments from top-ranked Japanese
and overseas financial institutions.
Besides MBO Funds, MHCP established "MH Mezzanine Limited
Partnership" in 2005 as the first Mezzanine Fund offerd
through private offering by Japanase finantial institution.
